This Subscription Agreement ("Subscription Agreement") governs your purchase and use of paid subscription plans offered by Connect The Dots, Inc. ("CTD," "we," or "us") through the Connect The Dots Platform ("Platform"). This Subscription Agreement supplements the CTD Terms of Use (available at https://www.ctd.ai/terms-of-use) and the CTD Privacy Policy. In the event of a conflict between this Subscription Agreement and the Terms of Use with respect to billing and subscription matters, this Subscription Agreement shall control.

By purchasing a subscription, you ("Subscriber" or "you") agree to be bound by this Subscription Agreement.

1. DEFINITIONS

"Billing Admin" means the User who created a Team Plan and is responsible for payment, seat management, and billing portal access for that Team.

"Billing Period" means the recurring interval (monthly or annual) for which subscription fees are charged, as selected by the Subscriber at the time of purchase.

"Free Plan" means the no-cost tier of the Platform with limited features, governed solely by the CTD Terms of Use.

"Payment Processor" means Stripe, Inc., the third-party payment processor used by CTD to process subscription payments.

"Professional Plan" means an individual paid subscription providing enhanced features for a single User.

"Seat" means a single licensed user slot within a Team Plan.

"Team Plan" means a workspace-based paid subscription providing enhanced features for multiple Users, priced on a per-seat basis.

2. SUBSCRIPTION PLANS AND FEATURES

2.1 Plan Tiers. CTD offers the following subscription tiers:

(a) Free — No charge. Limited feature set as described on the CTD Pricing page.

(b) Professional — Individual subscription with enhanced features as described on the CTD Pricing page.

(c) Team — Workspace subscription with seat-based pricing, including all Professional features plus team collaboration features as described on the CTD Pricing page.

2.2 Feature Availability. The specific features included in each plan are described on the CTD Pricing page (https://www.ctd.ai/pricing) and may be updated from time to time. CTD reserves the right to modify, add, or remove features from any plan with reasonable notice. Material reductions to paid plan features during an active Billing Period will not take effect until the next renewal.

2.3 Plan Priority. If a User holds both an individual Professional subscription and belongs to a Team workspace, the higher-tier plan shall govern the User's available features.

3. ACCOUNT AND PURCHASE

3.1 Eligibility. You must have a valid CTD account and be of legal age in your jurisdiction to purchase a subscription.

3.2 Checkout. Subscriptions are purchased through our Payment Processor. By completing checkout, you authorize CTD and the Payment Processor to charge the payment method you provide for the applicable subscription fees.

3.3 Team Plan Creation. When purchasing a Team Plan, you will be designated as the Billing Admin for the workspace. You must provide a team name during purchase. The Billing Admin is the sole individual authorized to manage billing, modify seat counts, and access the billing portal for that Team.

3.4 Promotion Codes. CTD may offer promotion codes that provide discounts or credits. Promotion codes are subject to any additional terms specified at the time of issuance, may not be combined with other offers unless expressly permitted, and may be revoked by CTD at its discretion.

4. BILLING AND PAYMENT

4.1 Billing Cycles. Subscriptions are available on a monthly or annual billing cycle, as selected at the time of purchase. Fees are charged in advance at the beginning of each Billing Period.

4.2 Currency. All prices are quoted and charged in United States Dollars (USD).

4.3 Payment Methods. Payment is accepted via credit or debit card through the Payment Processor. You are responsible for keeping your payment method current and valid.

4.4 Automatic Renewal. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT RATE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. For annual subscriptions, CTD will attempt to provide email notice at least thirty (30) days before renewal. For monthly subscriptions, renewal occurs automatically without additional notice beyond this Subscription Agreement.

4.5 Failed Payments. If a payment fails, CTD may: (a) reattempt the charge over the following days; (b) restrict access to paid features while the account is in a "past due" state; and (c) suspend or cancel the subscription if payment is not resolved within fourteen (14) days.

4.6 Taxes. Fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities. Such taxes will be collected by the Payment Processor where required by law.

4.7 Price Changes. CTD may change subscription pricing at any time. Price changes will take effect at the start of the next Billing Period following notice. For annual subscribers, price changes will not take effect until the next annual renewal. CTD will provide at least thirty (30) days' notice of any price increase via email to the address associated with your account.

5. TEAM PLAN: SEATS AND ADMINISTRATION

5.1 Seat-Based Pricing. Team Plans are priced per Seat. The Billing Admin selects the number of Seats at purchase, subject to a minimum of one (1) and a maximum of twenty-five (25) Seats.

5.2 Adding Seats. The Billing Admin may add Seats at any time. Additional Seats are charged immediately on a prorated basis for the remainder of the current Billing Period. The full per-Seat rate applies from the next Billing Period onward.

5.3 Removing Seats. The Billing Admin may reduce the number of Seats. Seat reductions take effect at the start of the next Billing Period. No refunds or credits are issued for unused Seats during the current Billing Period. The Billing Admin is responsible for ensuring that the number of active team members does not exceed the purchased Seat count before the reduction takes effect.

5.4 Billing Admin Responsibilities. The Billing Admin is solely responsible for: (a) all charges incurred under the Team subscription; (b) managing team membership and Seat allocation; and (c) ensuring compliance with this Subscription Agreement and the CTD Terms of Use by all team members.

5.5 Team Member Access. Team members who are not the Billing Admin may not modify the subscription or access billing information. If the Billing Admin leaves the organization or is otherwise unable to manage the subscription, the organization must designate a new Billing Admin by contacting CTD support at support@ctd.ai.

6. CANCELLATION AND REFUNDS

6.1 How to Cancel. You may cancel your subscription at any time through the CTD billing portal, accessible via your account Settings, or by contacting CTD support at support@ctd.ai. Cancellation is effective at the end of the current Billing Period. You will retain access to paid features until the end of the Billing Period in which you cancel.

6.2 Effect of Cancellation. Upon cancellation:

(a) Your plan will revert to the Free Plan at the end of the current Billing Period.

(b) For Team Plans, all team members will lose access to Team features at the end of the current Billing Period.

(c) Your data will be retained in accordance with the CTD Privacy Policy, but features and functionality exclusive to paid plans will no longer be accessible.

(d) Cancellation does not delete your CTD account.

6.3 Refund Policy. Subscription fees are non-refundable except where required by applicable law. This includes, without limitation: (a) no refunds for partial Billing Periods; (b) no refunds for unused Seats on Team Plans; and (c) no refunds for downgrading from an annual to a monthly plan or from a higher to a lower tier.

6.4 Exceptions. CTD may, at its sole discretion, issue refunds or credits in exceptional circumstances, such as extended service outages or billing errors. Refund requests must be directed to support@ctd.ai within thirty (30) days of the charge in question.

7. SUSPENSION AND TERMINATION BY CTD

7.1 Suspension. CTD may suspend access to paid features if: (a) payment is past due for more than fourteen (14) days; (b) the account is in violation of the CTD Terms of Use; or (c) suspected fraudulent or unauthorized activity is detected.

7.2 Termination for Cause. CTD may terminate a subscription for material breach of the CTD Terms of Use or this Subscription Agreement with seven (7) days' written notice. In such cases, no refund shall be owed.

7.3 Service Discontinuation. If CTD discontinues a paid plan entirely, affected Subscribers will receive a prorated refund for the unused portion of their current Billing Period.

8. DATA AND DOWNGRADE

8.1 Data Retention. Upon cancellation or downgrade to the Free Plan, your User Content will be retained in accordance with the CTD Privacy Policy. However, features or data storage limits exclusive to paid plans may result in restricted access to certain content.

8.2 Data Export. CTD will make commercially reasonable efforts to allow you to export your data prior to the end of your subscription. CTD recommends that you export any data you require before your subscription ends.

9. DISCLAIMERS AND LIMITATIONS SPECIFIC TO PAID PLANS

9.1 Service Availability. While CTD strives to maintain high availability, paid plans do not include a Service Level Agreement (SLA) unless separately agreed in writing. The disclaimers set forth in Section 7 of the CTD Terms of Use apply equally to paid plans.

9.2 Beta Features. Features labeled as "beta," "preview," or "experimental" within a paid plan may be modified or removed without notice and without constituting a material reduction in service.

9.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CTD'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS SUBSCRIPTION AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CTD DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION BREACH OF CONTRACT, NEGLIGENCE, AND OTHER TORTS.

10. CALIFORNIA AUTOMATIC RENEWAL COMPLIANCE

In accordance with California Business and Professions Code Sections 17600-17606:

10.1 The automatic renewal terms of this Subscription Agreement are provided to you before you complete your purchase.

10.2 By purchasing a subscription, you provide your affirmative consent to the automatic renewal terms described in Section 4.4 of this Subscription Agreement.

10.3 CTD will provide you with a confirmation of your subscription purchase, including the automatic renewal terms, cancellation policy, and information on how to cancel, via email following your initial purchase.

10.4 You may cancel your subscription at any time using the methods described in Section 6.1.

11. GENERAL PROVISIONS

11.1 Governing Law and Venue. This Subscription Agreement is governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. All claims and disputes arising out of or relating to this Subscription Agreement shall be litigated exclusively in the state or federal courts located in San Francisco County, California.

11.2 Amendments. CTD may update this Subscription Agreement at any time. Material changes will be communicated via email at least thirty (30) days in advance. Continued use of a paid subscription after the effective date of changes constitutes your acceptance of the updated Subscription Agreement.

11.3 Severability. If any provision of this Subscription Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

11.4 Entire Agreement. This Subscription Agreement, together with the CTD Terms of Use and CTD Privacy Policy, constitutes the complete agreement between you and CTD regarding paid subscriptions and supersedes all prior or contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.
